Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("you", "your") and Zorg by Blue, a sole proprietorship (eenmanszaak) registered with the Dutch Chamber of Commerce (KvK) under number 85507636, based in the Netherlands ("REPONA", "we", "us", "our"), governing your use of the REPONA website and service at repona.ai (the "Service").

By creating an account, accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

To use the Service you must be at least 16 years old and able to form a binding contract under the law of your jurisdiction.

3. Accounts

You must provide an accurate email address when you register and keep your login details confidential. You are responsible for all activity that occurs under your account. Notify us at hello@repona.ai if you suspect unauthorised use of your account.

4. How the Service works and your data

REPONA is a tool for organising and working with your own collection of prompts. Most of what you create in REPONA, including your prompts and your collection, is stored only in your own browser on your device, not on our servers.

Because your prompts live in your browser, you are responsible for backing them up. The Service provides an export feature for this purpose. We cannot recover prompts or collections that are lost, for example if you clear your browser data or lose your device, because we never hold them.

5. Plans, credits and billing

The Service is offered on a free plan and on paid subscription plans (Starter and Pro). The paid plans unlock the AI features.

  • Free plan. The core tool at no cost, without the AI features.
  • Paid plans. Billed in advance on a recurring basis through Stripe, in US dollars. Pricing is shown on our website and at checkout, and may change for future billing periods on reasonable notice. Monthly plans renew monthly; the yearly plan renews yearly.
  • Credits. The AI features consume credits. Each paid plan includes a number of credits per billing period. Credits included with your plan reset at the start of each billing period and do not roll over. Credits you purchase separately (top-ups) roll over and do not expire while your account is active. Credits have no cash value, cannot be transferred or exchanged for money, and are consumed in the order set out in the Service (included credits before purchased credits).
  • Taxes. Prices are exclusive of VAT or other applicable taxes, which are added at checkout where required.
  • Failed payments. If a payment fails, your account is downgraded to the free plan immediately. When payment is successfully received, your paid access is restored immediately.

6. Immediate access and your right of withdrawal

When you subscribe to a paid plan, you receive access to the paid features immediately.

If you are a consumer in the EU, you normally have a 14-day right to withdraw from a purchase of digital services. By subscribing and choosing to start using the paid features straight away, you expressly request that we begin providing the Service immediately, and you acknowledge that you lose your 14-day right of withdrawal once the Service has begun. You confirm this when you subscribe.

7. Cancellation and refunds

You may cancel your subscription at any time from the billing portal in your account. Cancellation takes effect at the end of your current paid billing period. You keep access to your paid plan and your remaining credits until the end of that period, after which your account reverts to the free plan.

No refunds. All payments are non-refundable. We do not provide refunds for partial billing periods, for unused credits, for downgrades, or for periods during which you did not use the Service. This does not affect any consumer rights you have under applicable law that cannot be waived.

We may change plan features or pricing for future billing periods. We will give you reasonable advance notice of any material change, and it will only apply to billing periods starting after the notice.

8. Your content and AI outputs

"Your Content" means the prompts and any files you submit to the Service. You keep all rights in Your Content.

When you use an AI feature, the content you submit for that action is sent through our server to our AI provider for processing, and the result is returned to you, as described in our Privacy Policy. We do not store Your Content.

The results produced by the AI features are generated automatically. We do not warrant that they will be accurate, complete, unique to you, or fit for any particular purpose. You are responsible for reviewing and deciding how to use them.

You represent that you have the right to submit Your Content and that it does not infringe the rights of any third party or break any law.

9. Acceptable use

You must not use the Service to:

  • break the law, infringe intellectual property or privacy rights, or help others do so;
  • create or process content that is unlawful, that sexualises minors, or that facilitates harm;
  • attempt to circumvent rate limits, plan limits, credit limits, billing or security controls, or to access another user's account;
  • reverse-engineer, scrape or copy the Service, or use it to build a competing product;
  • resell or sublicense access to the Service except under a written agreement with us;
  • upload malware or otherwise interfere with the Service or other users.

We may suspend or terminate accounts that breach this section, and we may report illegal conduct to the relevant authorities.

10. Third-party services

The Service relies on third-party providers (including those named in our Privacy Policy) to function. Your use of the Service is also subject to those providers' terms where applicable. We do not control and are not responsible for third-party services.

11. Our intellectual property

The Service, including its software, design, brand and name REPONA, is owned by us and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in line with these Terms. All rights not expressly granted are reserved.

12. Disclaimers

To the fullest extent permitted by law, the Service and any AI results are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements or that results will be reliable.

13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or business, arising out of or relating to these Terms or the Service.

Our total liability for all claims in any twelve-month period will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred euros (EUR 100).

Nothing in these Terms limits any liability that cannot be limited by law.

14. Suspension and termination

We may suspend or terminate your access if you breach these Terms, if your account presents a security or legal risk, or if required by law. You may stop using the Service at any time, and you may delete your account using the account deletion feature in the Service. Provisions that by their nature should survive termination will continue to apply, including Sections 8, 11, 12, 13 and 15.

15. Governing law

These Terms, and any dispute arising from them, are governed by the laws of the Netherlands. The competent courts of the Netherlands have jurisdiction, except where mandatory consumer law gives you the right to bring proceedings elsewhere.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give reasonable advance notice by email or through the Service. Continued use of the Service after the changes take effect means you accept them. If you do not agree, stop using the Service before they take effect.
